Terms of Service

These Terms of Service (“Terms”) form a binding agreement between you and NthCube LLC (“NthCube,” “we,” “us”) governing your use of the Zplity iOS app and related services (collectively, the “Service”). By downloading, installing or using the Service, you agree to these Terms. If you don’t agree, don’t use the Service.

1. The Service

Zplity is a personal-finance utility that helps you record shared expenses, split them between members of a group, and settle balances. Zplity is not a payment processor and does not transfer money on your behalf — when you mark an expense as settled, you are recording a transfer that happened outside the App.

2. Eligibility & account

• You must be at least 13 years old (or the minimum age in your country) to use Zplity.
• You sign in with Apple or with your email address. You are responsible for keeping your Apple ID, and the email account you sign in with, secure.
• You agree to provide accurate information and to keep it current.

3. Acceptable use

You agree not to:

• Use the Service in any way that violates applicable law.
• Attempt to probe, scan, or test the vulnerability of any system or network without authorization.
• Use automated scripts or scrapers to call our API outside of normal app usage.
• Upload images that contain illegal content or that you don’t have the right to share with our parsing provider.
• Resell, sublicense or commercially exploit the Service without our written permission.

4. Subscriptions

Zplity offers optional Zplity Pro subscriptions. Pricing, renewal terms, free-trial behavior, and cancellation are described in our Subscription terms, which form part of these Terms.

5. Your content

You retain all rights to the group, member, and expense data you put into the Service (“Your Content”). You grant Nth Cube a limited, worldwide, non-exclusive licence to host, transmit, process and display Your Content solely to operate and improve the Service for you and your group members. Other people you add to a group can see the expenses and settlements within that group.

6. Receipt scanning

When you submit a receipt image, the image is forwarded to a third-party AI processing provider (named in our Privacy Policy) for parsing. By using the scan feature you authorize this processing. The upload is not retained server-side once parsing finishes; a receipt photo you choose to keep on an expense is stored separately, as our Privacy Policy describes.

7. Service availability

The Service is provided on an “as is” and “as available” basis. We do not warrant that it will be uninterrupted, error-free, or that the receipt parser will always be accurate. You are responsible for reviewing parsed data before relying on it.

8. Money math is your responsibility

Zplity is a tool to help you and your group keep track of shared spending. We do not guarantee the accuracy of any computed balance or settlement suggestion, and we are not responsible for disputes between you and your co-members. Always double-check the numbers before sending money to anyone.

9. Intellectual property

The Service, including the app, the Zplity name and logo, and the underlying software, is owned by NthCube and protected by copyright, trademark and other laws. Nothing in these Terms grants you any right to use NthCube’s trademarks or branding except to refer to the Service.

10. Termination

You may stop using the Service at any time and may delete your account from Settings → Delete account. We may suspend or terminate your access if we reasonably believe you have breached these Terms or are using the Service in a way that could create liability for us or other users. On termination, your right to use the Service ends; the sections of these Terms that should reasonably survive termination (ownership, disclaimers, limitations of liability, indemnification, dispute resolution) will continue to apply.

11. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NTH CUBE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE. NTH CUBE’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) US$50.

13. Indemnification

You agree to indemnify and hold NthCube harmless from any third-party claims arising out of (i) your breach of these Terms, (ii) Your Content, or (iii) your misuse of the Service.

14. Apple-specific terms

You acknowledge that these Terms are between you and NthCube only, not with Apple, and that Apple is not responsible for the App or its content. Apple is a third-party beneficiary of these Terms and may enforce them against you. Maintenance and support of the App are provided by NthCube; Apple has no obligation to provide either. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, who will refund the purchase price (if any) for the App.

15. Governing law & disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law principles. Any dispute will be resolved in the state or federal courts located in Delaware, and you consent to personal jurisdiction there. If you reside in a region where applicable consumer-protection law gives you the right to bring proceedings in your local courts, this Section does not limit those rights.

16. Changes

We may update these Terms from time to time. If the changes are material, we will notify you in-app or by email before they take effect. Continued use of the Service after the changes constitutes acceptance.
